Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your use of Kệ Inventory and Kệ Timesheet (each a "Service," together the "Services"), operated by Ke app, LLC ("Kệ," "we," "us," or "our"). By accessing or using any Service, you agree to be bound by these Terms. If you do not agree, do not use that Service. Where a Term applies to only one Service, it says so explicitly; otherwise it applies to all Services.

      Important: Kệ Timesheet is a time-tracking and tip distribution tool — not a payroll service. All final payroll calculations remain the responsibility of the business owner.
    

2. Description of Service

Kệ Timesheet

Kệ Timesheet is a software-as-a-service (SaaS) platform that allows business owners to:

Track employee clock-in and clock-out times
Distribute and record tip allocations
Generate time and tip reports for internal use
Manage employee schedules and time-off requests

Kệ Timesheet does not process payroll, calculate or withhold taxes, file government reports (W-2, 1099, or similar), transfer money, or act as a payroll service or accounting software. All data provided by the Service is for informational purposes only. Business owners are solely responsible for verifying all calculations and complying with applicable labor and tax laws.

Kệ Inventory

Kệ Inventory is a mobile app for tracking product inventory, stock levels, and basic sales reporting for small businesses. Kệ Inventory runs entirely on your device — no account is required, and product data is stored locally on your device rather than on a Kệ server. An optional paid upgrade ("Kệ Pro") unlocks additional features such as unlimited products and extra reports; where a purchase is required, it is processed through the Apple App Store or Google Play billing system for your device, and Kệ does not directly collect or store your payment card information.

3. Account Registration

Kệ Timesheet requires you to create an account as a business owner. You agree to provide accurate, current, and complete information and to update that information as needed. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Kệ Inventory does not currently require an account to use its core features.

4. Acceptable Use

You agree not to:

Use a Service for any unlawful purpose or in violation of any regulations
Attempt to gain unauthorized access to any portion of a Service
Interfere with or disrupt the integrity or performance of a Service
Share your account credentials with unauthorized parties
Use a Service to track individuals without their knowledge or consent

5. Subscription and Payment

Kệ Timesheet requires an active paid subscription to use. Kệ Inventory offers a free tier with an optional paid Kệ Pro upgrade. Where a fee applies, it is billed on a recurring or one-time basis as described at the time of purchase. All fees are non-refundable except as required by law, as explicitly stated in our refund policy, or per the refund policy of the app store you purchased through. We reserve the right to change pricing with at least 30 days' advance notice for recurring subscriptions.

6. Data Ownership

You retain ownership of all data you input into a Service, including employee information, time records, tip data, and product/inventory data. For Kệ Timesheet, by using the Service you grant Ke app, LLC a limited license to store, process, and display that data solely to provide the Service to you. Kệ Inventory does not transmit your data to Kệ, so no such license is needed for that Service.

7. Disclaimer of Warranties

Each Service is provided "as is" and "as available" without warranties of any kind, either express or implied. Ke app, LLC does not warrant that a Service will be uninterrupted, error-free, or free of viruses or other harmful components. You use each Service at your own risk.

8. Limitation of Liability

To the fullest extent permitted by law, Ke app, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of a Service. Our total liability to you for any claims arising from these Terms or a Service shall not exceed the amount you paid us for that Service in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Ke app, LLC and its officers, members, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of a Service, your violation of these Terms, or your violation of any applicable law or third-party rights.

10. Termination

We may suspend or terminate your access to a Service at any time for violation of these Terms or for any other reason at our discretion. You may cancel a Kệ Timesheet subscription at any time through your account settings, or uninstall Kệ Inventory at any time. Upon termination of a Kệ Timesheet account, your data will be retained for 30 days before deletion unless otherwise required by law.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email, by displaying a notice within the Service, or by posting an updated version on this page. Continued use of a Service after changes take effect constitutes your acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Travis County, Texas.
